Welcome to MPHONLINE.COM. By accessing any MPHONLINE.COM Site or if you purchase any product on any MPHONLINE.COM Site, including but not limited to creating an account, downloading software or digital content (including applications developed by MPHONLINE.COM or third parties) from the MPHONLINE.COM Site, joining any MPHONLINE.COM online interactive community, such as MPH Readers Circle (MRC), posting a review or creating a profile, or otherwise joining, viewing, visiting or contributing to MPHONLINE.COM user forums or chat or other interactive features (if any) (hereinafter collectively called "MPHONLINE.COM Services"), you, as a user of the MPHONLINE.COM Site ("you" or "User"), are deemed to have accepted and agree to be bound by and abide to the Terms of Service listed below.

If you purchase any product on the MPHONLINE.COM Site, you agree to be legally bound by an additional and separate electronic contract of sale ("the Conditions of Sale"), which shall be concluded when MPHONLINE.COM accepts your order by mail confirming that it has shipped our product.

MPHONLINE.COM offers you the ability to purchase, browse, or download digital content, such as electronic books ("eBooks"), digital magazines, digital newspapers, digital journals, periodicals, applications (including applications developed by MPHONLINE.COM or third parties), and other digital content as determined by MPHONLINE.COM from time to time from and through the MPHONLINE.COM Site (individually and collectively, "Digital Content").

You may generally browse, preview, or search Digital Content without having to purchase or download the Digital Content. In order to be able to purchase and/or download Digital Content, you must first open an MPHONLINE.COM account; provide valid credit card information and your billing address to MPHONLINE.COM; and/or install MPHONLINE.COM electronic reader software application (the "MPHONLINE.COM eReader Software") and/or any third-party software onto your computer or electronic reading device(s). In the former case, at the time of installation, MPHONLINE.COM grants you a non-exclusive, revocable license to download and make personal, non-commercial use of the MPHONLINE.COM eReader Software solely for the purpose of downloading, purchasing, accessing, reading and using Digital Content, all subject to the terms and conditions of the MPHONLINE.COM eReader Software End User License Agreement. Use of the MPHONLINE.COM eReader Software on your computer or electronic reading device(s), is subject to MPHONLINE.COM Terms and Conditions herein.

MPHONLINE.COM reserves the right to automatically update, modify and/or reinstall the MPHONLINE.COM eReader Software. The MPHONLINE.COM eReader Software is subject to restriction and/or revocation for security purposes or other purposes as determined by MPHONLINE.COM.

MPHONLINE.COM reserves the right to modify or discontinue the offering of any Digital Content at any time. If a unit of Digital Content becomes unavailable prior to download but after purchase, your sole and exclusive remedy is the refund of the purchase price paid for such Digital Content.

In the case where after customers purchased and successfully downloaded the Digital Content, further download may not be applicable and no refund possible, depending on the publisher’s terms and conditions.

You may not (i) modify, alter, duplicate, reproduce, copy, distribute copies of, disassemble, reverse-engineer, emulate, decompile, or tamper with the MPHONLINE.COM eReader Software or Digital Content; (ii) create derivative works from or of the MPHONLINE.COM eReader Software or Digital Content; (iii) bypass, modify, tamper, defeat or circumvent any of the security components, special rules or other applications that protect the MPHONLINE.COM eReader Software or Digital Content; (iv) use any robot, spider, data miner, crawler, scraper or other automated means to access or index the Digital Content or any portion thereof, including but not limited to any metadata associated with the Digital Content; or (v) rent, loan, lease, sublicense, transfer, network, reproduce, display, distribute, or otherwise make any of the Digital Content available to any third party.

 

LICENSES AND RESTRICTIONS

MPHONLINE.COM grants you a limited, non-exclusive, revocable license to access and make personal, non-commercial use of the contents of the MPHONLINE.COM Site (the “Content”), which includes the Digital Content, as defined above provided always that the foregoing licence do not include any rights to:

  1. modify, download, reproduce, copy, or resell the MPHONLINE.COM Site, the Content or any portion or derivative thereof;
  2. commercially use the MPHONLINE.COM Site, the Content or any portion derivative thereof;
  3. copy or download any User's account or profile information for the benefit of any third party;
  4. enable high-volume, automated, electronic processes that apply to the MPHONLINE.COM Site or its systems, the Content or any portion or derivative thereof;
  5. use any robot, spider, data miner, crawler, scraper or other automated means to access or index the MPHONLINE.COM Site or its systems, the Content or any portion or derivative thereof for any purpose;
  6. interfere or attempt to interfere with the proper working of the MPHONLINE.COM Site;
  7. bypass any MPHONLINE.COM measures used to prevent or restrict access to any portion of the MPHONLINE.COM Site, the Content or any portion or derivative thereof;
  8. frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of MPHONLINE.COM;
  9. use MPHONLINE.COM name, trademarks, services marks or logos in any meta tags or any other "hidden text" or
  10. compile, repackage, disseminate or otherwise use data extracted from the MPHONLINE.COM Site.

The foregoing are expressly prohibited; the right to do any of the foregoing shall require MPHONLINE.COM’s express written consent (which may include a written agreement signed by an authorised representative of MPHONLINE.COM). Any unauthorised use of the MPHONLINE.COM Site, the Content or any portion or derivative thereof shall terminate any license or permission granted by MPHONLINE.COM.

TRADEMARKS

You acknowledge that the MPHONLINE.COM Site contains the Content, including Digital Content, as defined above, that is protected by copyrights, trademarks, trade secrets, or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed. MPHONLINE.COM owns a copyright in the selection, coordination, arrangement, and enhancement of such Content on the MPHONLINE.COM Site. You shall not modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the Content, in whole or in part. You may not upload, post, reproduce, or distribute in any way Content, including Digital Content and the MPHONLINE.COM eReader Software, protected by copyright, or other proprietary right, without obtaining permission of the owner of the copyright or other propriety right. In addition to the foregoing, use of any software Content shall be governed by these terms and any software license agreement accompanying such software.

THIRD-PARTY CONTENT

MPHONLINE.COM is a distributor and not a publisher of Content, including Digital Content, as defined above, supplied by third parties and Users. MPHONLINE.COM has no editorial control over such Content. MPHONLINE.COM is not obligated to review the Content, including Digital Content and any postings, publications or communication of any information, data, software, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material created by Users through MPHONLINE.COM’s online interactive community (if any) (hereinafter called "the User Created Content"). Any opinions, advice, statements, services, offers, or other information that constitutes part of Content, including Digital Content and User Created Content, expressed or made available by third parties, including any other User, are those of the respective authors or distributors and not of MPHONLINE.COM and/or persons who provide products or services to MPHONLINE.COM customers either directly or through MPHONLINE.COM ("MPHONLINE.COM Providers"), unless expressly stated otherwise. Neither MPHONLINE.COM nor any MPHONLINE.COM Provider makes any representation, warranty or guarantee on the accuracy, completeness, or usefulness of any third-party Content unless otherwise expressly stated. In many instances, the Content, including Digital Content and User Created Content, available through the MPHONLINE.COM Site represents the opinions and judgments of the third party that provides such Content. Under no circumstance shall either MPHONLINE.COM or any MPHONLINE.COM Provider be liable for any loss, damage or harm caused by a User's reliance on information obtained through the MPHONLINE.COM Site. It is the responsibility of User to evaluate the accuracy, completeness or usefulness of the information, opinion, advice, or Content, including Digital Content and User-Created Content, available through the MPHONLINE.COM Site.

PRODUCT DESCRIPTION

The items offered for sale on MPHONLINE.COM contain descriptions that are provided directly by the publisher, manufacturer or distributor of such item. MPHONLINE.COM does not represent or warrant that the descriptions of such items are accurate or complete.

IF A USER PURCHASES AN ITEM FROM MPHONLINE.COM THAT IS NOT AS DESCRIBED ON THE MPHONLINE.COM SITE, THE USER'S SOLE AND EXCLUSIVE REMEDY IS TO RETURN SUCH ITEM IN AN UNUSED CONDITION FOR A REFUND OF THE PURCHASE PRICE WITHIN 7 DAYS FROM DATE OF DELIVERY. CUSTOMERS WILL BEAR THE COST OF RETURN COURIER/POSTAL CHARGES.

NOTICES

User consents to receive electronic communications from MPHONLINE.COM, whether addressed to the email address associated with such User's MPHONLINE.COM account or posted on the MPHONLINE.COM Site. User acknowledges and agrees that any communication via email or by postings on this MPHONLINE.COM Site satisfies any legal requirement that such communications be made in writing.

RESTRICTIONS ON OFFICERS AND EMPLOYEES OF THE MPH GROUP

All officers and employees of the MPH Group of Companies are prohibited from taking part in any contest, polls or games conducted on MPHONLINE.COM sites.

LOGIN NAME (USER ID) AND PASSWORD

You are solely responsible for maintaining the confidentiality of your login name (User ID) and password to any other person. You are not to disclose your password to any other person. You are responsible for the use of your account, whether or not authorised by you.

You shall immediately notify MPHONLINE.COM if it comes to your knowledge that your password has been compromised or there has been unauthorised use of your account.

MPHONLINE.COM shall not be liable for any damage or loss of any kind suffered by you as a result of unauthorised use of your login name and password.

POINTS

IMPORTANT: EFFECTIVE FROM 1 JULY 2012, THERE WILL NOT BE ANY KNOWLEDGE POINT ACCUMULATION FOR MPH READERS’ CIRCLE MEMBERS FOR PURCHASES MADE AT MPHONLINE.COM.

PRIVACY POLICY

MPHONLINE.COM may disclose to third parties certain aggregate information contained in your registration applications, but MPHONLINE.COM will not disclose to any individual your name, address, email address, or telephone number without your prior consent except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings.
